Because $1 wasn’t the real price – it was a handoff of responsibility.
Owning a refinery means taking on big long-term costs: maintenance, regulation, and environmental obligations. Harry R. Halloran Junior accepted that burden to keep the refinery running.
American Refining Group wasn’t purchased for quick profits.
They bought it for:

And it’s not just still operating – it’s the longest continuously operating refinery in the United States.
